InnerWireless and PanGo Announce Merger

InnerWireless, Inc., and PanGo Networks, Inc., (PanGo)

announced their merger, creating the industry’s only fully integrated wireless and location services company. The merger combines PanGo’s best-in-class location services platform and asset tracking applications software with the industry-leading RF management platform, Horizon, and deployment capabilities from InnerWireless. The merged company will offer end-to-end, turnkey solutions in markets where wireless and location services are mission and life critical. InnerWireless will focus initially on the global healthcare, commercial and industrial markets via direct customer engagement and strategic partners.

“Through this merger, InnerWireless now has the technology, solutions and people to provide its customers with fully integrated and fully assured wireless and location services,” said Ed Cantwell , InnerWireless president, CEO and chairman. “The combined company is unmatched in terms of talent, experience and a commitment to provide customers the value they desire from their wireless infrastructure and application investments.”

PanGo co-founder Michael Campbell , who will serve as senior vice president for location services in the merged company, added, “There is extraordinary value in location-aware workflow and asset management, but until now, customers have been reluctant to invest because no single vendor could provide the assurance that systems would perform reliably and could be easily deployed and supported.”

PanGo completely aligns with InnerWireless’ mission of being a leading provider of wireless solutions that integrate voice, data and location networks to reliably deliver timely and relevant information to mission- and life-critical applications.

The combined company will provide customers with solutions that are tailored to each customer’s unique requirements for location system granularity. The PanOS location services platform provides an extensible architecture supporting a wide range of location technologies that meet these specific use cases and the ability to accurately locate assets and people to zone, room, and sub-meter accuracy. Additional value comes from seamless integration with value-added end-user applications including the company’s own asset tracking system, PanGo Locator, and many third-party systems for asset management, workflow automation and enterprise safety. The platform extends the value of the InnerWireless Spot solution, which provides room-level accuracy and complements other technologies such as Wi-Fi (802.11), passive RFID, Ultra Wideband (UWB), and Infrared (IR) through partners and third-party providers.

PanGo solutions will also seamlessly integrate with InnerWireless’ leading-edge RF platform, Horizon, which is engineered to support a full range of wireless services and applications to enable interpersonal communications, clinical operations and building operations such as cellular/PCS, WLAN, VoIP, WMTS and two-way radios for security and first responder support.

Financial terms of the deal were not disclosed. However, in connection with the transaction, PanGo’s investor group joined InnerWireless’ existing investors in follow-on funding. PanGo’s investor group will appoint one board member to InnerWireless’ eight-seat board of directors.
